1. Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of the Ancher.ai website, browser extension, mobile application, web application, APIs, and related software, tools, features, and services (collectively, the “Service”) provided by Ancher.ai (“Ancher,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, or otherwise indicating your acceptance, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

2. The Service

Ancher is an AI-powered content capture, organization, retrieval, and transformation service. The Service may allow you to collect, import, upload, forward, save, store, organize, search, retrieve, analyze, summarize, reformat, tag, classify, index, and otherwise process content, including text, links, articles, webpages, screenshots, images, photos, videos, audio, documents, notes, and other materials.

Content may be added to the Service in a variety of ways, including by direct upload, browser or mobile tools, forwarding or sharing from third-party sources, creating content within the Service, or connecting third-party services that you authorize.

Certain features may use artificial intelligence or machine learning to generate summaries, structured outputs, recommendations, classifications, search results, and other outputs. Features and functionality may vary by plan, device, region, or integration. We may modify, suspend, or discontinue any part of the Service at any time.

3. Eligibility and Accounts

You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher, to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us at security@ancher.ai of any unauthorized use of your account or any security incident involving the Service.

We may refuse registration, suspend or terminate accounts, reclaim usernames, or restrict access where reasonably necessary to protect the Service, comply with law, prevent abuse, or enforce these Terms.

4. Your Content

4.1 Ownership

You retain ownership of the content, data, files, media, prompts, inputs, and other materials that you upload, submit, save, create, import, or otherwise make available through the Service (collectively, “Your Content”). Except for the rights expressly granted in these Terms, Ancher does not acquire ownership of Your Content.

4.2 Your Responsibility

You are solely responsible for Your Content and for the consequences of storing, sharing, exporting, transforming, or using it through the Service. You represent and warrant that:

  • you own or control all rights necessary to use Your Content with the Service;
  • your use of the Service and Your Content does not violate any law, contract, intellectual property right, privacy right, publicity right, or other third-party right; and
  • you have obtained all permissions, consents, and licenses needed for Ancher and its service providers to process Your Content as contemplated by these Terms.

4.3 License to Ancher

You grant Ancher a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, modify, adapt, format, process, analyze, index, cache, classify, display, and otherwise use Your Content solely as necessary to:

  • provide, operate, maintain, secure, support, debug, and improve the Service;
  • enable search, retrieval, organization, AI processing, summarization, transformation, formatting, and other requested functionality;
  • detect, prevent, investigate, and address fraud, abuse, security incidents, or technical issues;
  • comply with law, enforce these Terms, and protect the rights, safety, and property of Ancher, our users, and third parties; and
  • create aggregated and de-identified insights that do not identify you or reveal Your Content.

This license ends when Your Content is deleted from the Service, except to the extent Your Content has been shared with others, retained to comply with law, preserved in limited backup systems, or used in aggregated or de-identified form.

4.4 AI Processing

You acknowledge that the Service may process Your Content using AI and machine learning systems, including systems provided by third-party model or infrastructure providers acting on our behalf.

We do not use Your Content to train general-purpose AI models for other customers unless we clearly disclose that practice and obtain any consent required by applicable law.

4.5 Sharing and Exporting

If you choose to share, forward, publish, export, or otherwise make Your Content available to others through the Service or outside of it, you are responsible for that decision and any resulting consequences. Ancher is not responsible for how others use content that you choose to share or export.

5. Third-Party Content and Services

The Service may enable you to store or process content originating from third-party websites, apps, publishers, platforms, or services (“Third-Party Content”). Your use of Third-Party Content remains subject to any terms, licenses, restrictions, or rights applicable to that content.

Ancher does not grant you any ownership rights in Third-Party Content and does not represent that your use, storage, transformation, export, redistribution, or other handling of Third-Party Content is lawful in any particular circumstance. You are responsible for determining whether you have the right to save, upload, summarize, transform, share, or otherwise use Third-Party Content through the Service.

The Service may also interoperate with third-party products or services. We are not responsible for third-party products or services, and your use of them is governed by their own terms and policies.

6. Acceptable Use

You agree not to, and not to permit others to, use the Service to:

  • violate any law, regulation, court order, or third-party right;
  • upload, save, store, process, or distribute content that you do not have the right to use;
  • infringe, misappropriate, or violate intellectual property, privacy, publicity, confidentiality, or other rights;
  • upload, store, or process illegal content, malware, harmful code, or content designed to disrupt systems or deceive others;
  • engage in unlawful scraping, surveillance, credential theft, phishing, fraud, impersonation, or similar misconduct;
  • bypass paywalls, access restrictions, robots exclusions, technical protection measures, or other usage restrictions imposed by third parties;
  • use the Service to collect, process, or redistribute copyrighted material at scale without authorization;
  • use automated means to access or interact with the Service in a manner that exceeds permitted usage, circumvents rate limits, or places unreasonable load on our systems;
  • reverse engineer, decompile, disassemble, copy, or create derivative works from the Service except where such restriction is prohibited by law;
  • probe, scan, or test the vulnerability of the Service or any related system without authorization;
  • resell, sublicense, lease, timeshare, or otherwise commercially exploit the Service except as expressly authorized by us in writing;
  • share login credentials or allow unauthorized third parties to access your account; or
  • use AI-generated outputs from the Service to engage in unlawful, deceptive, harassing, defamatory, or abusive conduct.

We may monitor, investigate, remove content, restrict access, or suspend accounts where reasonably necessary to enforce this Section or protect the Service and its users.

If you believe content made available through the Service infringes your copyright or other intellectual property rights, you may send us a notice with sufficient detail for us to investigate, including identification of the allegedly infringing material, your contact information, and the basis for your claim.

We may remove or disable access to allegedly infringing content, suspend or terminate repeat infringers, and take other actions we reasonably deem appropriate. We may also forward your complaint, including your contact details, to the user who provided the relevant content where appropriate.

8. AI-Generated Outputs

The Service may generate summaries, tags, suggestions, classifications, recommendations, reformatted content, and other AI-assisted outputs (“Outputs”). You acknowledge and agree that:

  • Outputs may be inaccurate, incomplete, outdated, offensive, or otherwise unsuitable for your use case;
  • Outputs are generated probabilistically and may not be unique;
  • similar or identical outputs may be generated for other users;
  • Outputs do not constitute legal, medical, financial, employment, or other professional advice;
  • you are solely responsible for reviewing, validating, and deciding whether to use any Output; and
  • you must not rely on Outputs as the sole basis for high-risk, safety-critical, legal, financial, medical, employment, compliance, or other significant decisions.

To the fullest extent permitted by law, Ancher makes no representation or warranty that Outputs will be accurate, non-infringing, fit for a particular purpose, or continuously available.

9. Intellectual Property in the Service

As between you and Ancher, the Service, including our software, models, algorithms, interfaces, workflows, branding, documentation, and related intellectual property, is owned by Ancher or its licensors and is protected by applicable law.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for its intended purposes.

If you provide feedback, suggestions, or ideas regarding the Service, you grant Ancher a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, incorporate, and exploit that feedback for any purpose, without restriction or compensation to you.

10. Subscription, Billing, and Payment

10.1 Plans and Auto-Renewal

We may offer free plans, paid subscriptions, usage-based pricing, trials, promotions, or enterprise arrangements. Unless otherwise stated, paid subscriptions automatically renew for the same billing period until canceled.

10.2 Billing Authorization

If you purchase a paid plan, you authorize us and our payment processors to charge your selected payment method for recurring subscription fees, usage-based fees, taxes, and any other amounts due in connection with your account.

10.3 Trials and Promotions

If we offer a free trial or promotional pricing, additional terms may apply. Unless we state otherwise, a paid subscription may begin automatically at the end of the trial or promotional period, and you authorize us to charge your payment method unless you cancel before renewal.

10.4 Pricing Changes

We may change pricing, plan features, storage limits, or usage allowances by providing advance notice. Unless otherwise stated, such changes will take effect at the start of your next renewal term.

10.5 Refunds

Payments are non-refundable except where required by law, expressly stated by us, or provided under a separate written agreement.

10.6 Failure to Pay

If a payment fails or your account is past due, we may downgrade, suspend, or terminate your access to some or all of the Service after notice where reasonably practicable.

10.7 Third-Party Billing Channels

If you purchase access through a third-party platform such as an app store, marketplace, or reseller, your billing relationship with that provider may be governed by separate terms, and those terms may control with respect to billing, cancellation, and refunds.

11. Term and Termination

11.1 Term

These Terms begin when you first access or use the Service and continue until terminated.

11.2 Termination by You

You may stop using the Service or cancel your subscription at any time. Unless otherwise stated, cancellation will take effect at the end of your current paid billing period.

11.3 Termination or Suspension by Ancher

We may suspend or terminate your access immediately or upon notice if:

  • you violate these Terms;
  • we reasonably believe your use creates legal, security, or operational risk;
  • we are required to do so by law or request of a governmental authority; or
  • we discontinue the Service or a relevant portion of it.

11.4 Effect of Termination

Upon termination, your right to use the Service ends. Subject to applicable law and our then-current product functionality, we may make Your Content available for export for a limited period after termination. After that, we may delete or retain Your Content in accordance with our Privacy Policy, backup retention practices, and legal obligations.

12. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Service, you acknowledge that we may process personal information in accordance with that policy.

13. Beta and Experimental Features

We may offer beta, preview, early access, or experimental features from time to time. Those features may be incomplete, unreliable, changed, or discontinued at any time without notice, and are provided “as is” without warranties or commitments of support.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ANCHER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, ANCHER DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE PRESERVED WITHOUT LOSS OR CORRUPTION.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANCHER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANCHER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ANCHER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US$100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Ancher and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your Content;
  • your use or misuse of the Service;
  • your violation of these Terms; or
  • your violation of any law or third-party right.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

17.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association on an individual basis, except that either party may bring an individual claim in small claims court if it qualifies.

17.3 Class Action Waiver

To the fullest extent permitted by law, you and Ancher waive any right to participate in a class action, class arbitration, or other representative proceeding.

17.4 Injunctive Relief

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement, misuse of confidential information, or unauthorized access to the Service.

18. General Terms

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Ancher regarding the Service, unless superseded by a separate written agreement.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Failure to enforce any provision is not a waiver of future enforcement.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
  • Export and Sanctions Compliance. You may not use the Service in violation of export control or sanctions laws, and you represent that you are not prohibited from receiving the Service under applicable law.
  • Electronic Communications. You agree that we may provide notices, disclosures, and other communications electronically, including through the Service or by email.
  • Survival. Sections that by their nature should survive termination will survive, including Sections 4, 5, 7, 8, 9, 10 (to the extent amounts remain due), 14, 15, 16, 17, and 18.

19. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice as required by law or as reasonably appropriate under the circumstances. Unless otherwise stated, changes will become effective on the date posted or the date indicated in the updated Terms. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
